Please read these Terms of Use (“Terms”, “Terms of Use”) carefully before using the website (the “Service” and “Service Provider”) operated by Dini (“us”, “we”, or “our”).

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

1. Links To Other Web Sites

Our Service may contain links to third-party websites or services that are not owned or controlled by Dini. Dini has no control over and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that Dini shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such web sites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

2. Termination

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

3. SUBSCRIPTIONS AND BILLING

3.1. Ongoing Subscription and Fees. We will bill you in advance for your subscription. Your subscription will continue and automatically renew on a recurring basis corresponding to the term of your subscription unless and until you cancel your subscription, or your account is otherwise suspended or terminated pursuant to these Terms. Didi Media reserves the right to change the terms of your subscription, including price, from time to time, effective as of the beginning of your next Billing Period following the date of the change. We will give you advance notice of these changes, but we will not be able to notify you of changes in any applicable taxes.

 

3.2 Payment Method. Unless otherwise indicated, you will be required to provide a credit card or other payment method accepted by Dini Media, as may be updated from time to time (“Payment Method”). We will charge your Payment Method a periodic subscription fee on a recurring basis corresponding to the term of your subscription, and any applicable taxes. You are solely responsible for any and all fees charged to your Payment Method.

 

3.3 Billing Holds. In the event of a failed attempt to charge to your Payment Method (e.g. if your Payment Method has expired), we reserve the right to retry billing your Payment Method. In the event that you or we (through our payment service providers) update your Payment Method to remedy a change in validity or expiration date, we will automatically resume billing you for your subscription to the Services. We may suspend or cancel your access to the Services if we remain unable to successfully charge a valid Payment Method. We also reserve the right to pursue any amounts you fail to pay in connection with your subscription, including collection costs, bank overdraft fees, collection agency fees, reasonable attorneys’ fees, and arbitration or court costs. We may offer you the ability to pause your subscription for a specified period of time. If you do not cancel before the end of the pause period, billing will resume automatically.

 

3.4 Billing Period. As used in these Terms, “billing” shall indicate either a charge or debit, as applicable, against your Payment Method. We will automatically bill your Payment Method on the day you start your subscription or the day your free trial ends, and on each recurring billing date thereafter. Your “Billing Period” is the interval of time between each recurring billing date and corresponds to the term of your subscription. Where applicable, charges for one or more Services may be prorated for any partial month of service. To see your next recurring billing date, log in on the Dini Media site and view your account details. You acknowledge that the timing of when you are billed and the amount billed each Billing Period may vary, including if your subscription began on a day not contained in a given month (e.g. if you have a monthly subscription and became a paying subscriber on January 31, your Payment Method would next be billed on February 28), due to free trials and other promotional offers, gift card redemptions, credits applied, or changes in your subscription or Payment Method.

 

3.5 Cancellation and Refunds. You can cancel your subscription by logging into your Dini Media account and following the instructions on your account page on the Dini Media Site. You must cancel your subscription prior to 11:59 p.m. Eastern Time on the day before your next recurring billing date in order to avoid being charged. If you cancel your subscription, you will continue to have access to the Service through the end of your current Billing Period. However, if you modify your subscription to switch from one Service to another Service during your Billing Period, you may not have continued access to your original Service. Payments are nonrefundable. If you cancel, modify your subscription, or if your account is otherwise terminated under these Terms, you will not receive a credit, including for partially used periods of Service. There are circumstances where Dini Media may provide credits on a case-by-case basis. The amount and form of such credits, and the decision to provide them, are at Dini Media’s sole and absolute discretion.

 

3.6 Free Trials. On occasion, we may offer free trials to a particular Service, subject to specific terms explained during your sign-up. Dini Media reserves the right to determine eligibility for free trials, which may vary based on factors including the Service selected, how recently you redeemed a free trial, and whether the Service is part of a combined offering. Certain limitations may also exist with respect to combining free trials with any other offers.It is very important to understand that you will not receive a notice from Dini Media that your free trial has ended and that payment for your subscription is due. If you wish to avoid charges to your Payment Method, you must cancel your subscription prior to midnight Eastern Time on the last day of your free trial period. Because the Services are offered in multiple time zones, for consistency, a “day” for purposes of these Terms begins at 12:00 a.m. Eastern Time and ends at 11:59 p.m. Eastern time of that same calendar day. You may cancel your subscription at any time as described in the “Cancellation and Refunds” section of these Terms. If you cancel your subscription during a free trial or while using a promotional code or other credits, cancellation may be effective immediately.

 

3.7 Promotions. If we offer you a promotion (e.g., a promotional price or bundled subscription), the specific terms of the promotion will be disclosed during your sign-up or in other materials provided to you. We will begin billing your Payment Method for your subscription at the then-current, non-promotional price after your promotion ends unless you cancel prior to the end of your promotion or unless otherwise disclosed.

 

3.8 Cooperation. The client recognizes and acknowledges that the quality and accuracy of the Services, and the efficiency and timeliness of their completion, are significantly dependent on the cooperation of the Client with Dini Media as well as the available resources of the Client. Therefore, the Client shall provide Dini Media in a reasonably timely manner such information and resources that may be reasonably obtainable by Client that is/are necessary for Dini Media to perform the Services completely and accurately in all material respects. Dini Media shall be entitled to rely on the completeness, correctness, and accuracy of the information provided by the Client.

The Client shall co-operate with Dini Media in all matters relating to the Services; and provide Dini Media with such information and materials as the Dini Media may reasonably require in order to supply the Services and ensure that such information is accurate in all material respects. If the Client fails to provide the requested information or provides incorrect information thus preventing Dini Media from providing the agreed Services, the responsibility falls on the Client and the subscription does not cease unless the Client has canceled the subscription.

If Dini Media’s performance of any of its obligations under the subscription is prevented or delayed by any act or omission by the Client or failure by the Client to perform any relevant obligation:

(a) Dini Media shall without limiting its other rights or remedies have the right to suspend the performance of the Services

(b) Dini Media shall not be liable for any costs or losses sustained or incurred by the Client arising directly or indirectly from Dini Media’s failure or delay to perform any of its obligations; and

(c) the Client shall reimburse Dini Media for any costs or losses sustained or incurred arising directly or indirectly from the Client’s delay

4. Retainers

These are the terms and conditions that apply with the purchase of a retainer service from Dini Media (the “Service Provider”). You (the “Client”) agree to the terms and conditions set out below when you purchase a Retainer Service via our website. A purchase of a retainer on this website is non-refundable. Such a product can be identified by the presence of the word ”retainer” in the description section of the product. By making such a purchase you enter into a contract for services with Dini Media the terms of which are set out below.

The Service Provider is engaged in the business of providing services in relation to marketing, branding, and design, and has reasonable skill, knowledge, qualifications, and experience in that field.

4.1 Service Provider’s Obligations
The Service Provider shall perform its obligations under this Agreement in a reasonable and timely manner in accordance with the provisions of this Agreement.

The Service Provider shall provide the Client with such information and advice in connection with the Services and the provision thereof as the Client may, from time to time, reasonably require both before and during the provision of the Services.

The Service Provider shall use reasonable endeavors to keep the Client informed of any special requirements applicable to the rendering of the Services. To the extent necessary and appropriate, the Client shall promptly take steps to comply with any such requirements. These steps shall not otherwise alter this Agreement in any way.

4.2 Client’s Obligations
The Client shall provide the Service Provider with such information in connection with the Services and the provision thereof as the Service Provider may, from time to time, reasonably require both before and during the provision of the Services.

The Client shall perform its obligations under this Agreement in a reasonable and timely manner in accordance with the provisions of this Agreement.

The Client agrees that it will implement all new/revised employment documents provided by the Service Provider. The Client acknowledges that failure to do so may, at the total discretion of the Service Provider, void the legal costs/insurance element of this Agreement.

The Client shall use reasonable endeavors to keep the Service Provider informed of any special requirements applicable to the rendering of the Services. To the extent necessary and appropriate, the Service provider shall promptly take steps to comply with any such requirements. These steps shall not otherwise alter this Agreement in any way.

4.3 Intellectual Property 

All intellectual property rights that may or will be exercised in relation to the result of the assignment are vested in the Client in case that all payments for work to the Service Provider have been made. The Service Provider will transfer those rights to the Client in the context of the assignment. If the transfer requires a deed or any other formality, the Service Provider will lend his/her prompt and unconditional cooperation and/or perform all necessary acts. Where necessary, the Service Provider guarantees that the person deployed by him/her will cooperate promptly and unconditionally in a (further) transfer as the occasion arises. 

4.4 Cooperation.

The client recognizes and acknowledges that the quality and accuracy of the Services, and the efficiency and timeliness of their completion, are significantly dependent on the cooperation of the Client with Dini Media as well as the available resources of the Client. Therefore, the Client shall provide Dini Media in a reasonably timely manner such information and resources that may be reasonably obtainable by Client that is/are necessary for Dini Media to perform the Services completely and accurately in all material respects. Dini Media shall be entitled to rely on the completeness, correctness, and accuracy of the information provided by the Client.

The Client shall co-operate with Dini Media in all matters relating to the Services; and provide Dini Media with such information and materials as the Dini Media may reasonably require in order to supply the Services and ensure that such information is accurate in all material respects. If the Client fails to provide the requested information or provides incorrect information thus preventing Dini Media from providing the agreed Services, the responsibility falls on the Client and the subscription does not cease unless the Client has canceled the subscription.

If Dini Media’s performance of any of its obligations under the subscription is prevented or delayed by any act or omission by the Client or failure by the Client to perform any relevant obligation:

(a) Dini Media shall without limiting its other rights or remedies have the right to suspend the performance of the Services

(b) Dini Media shall not be liable for any costs or losses sustained or incurred by the Client arising directly or indirectly from Dini Media’s failure or delay to perform any of its obligations; and

(c) the Client shall reimburse Dini Media for any costs or losses sustained or incurred arising directly or indirectly from the Client’s delay

 

5. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

6. Governing Law

These Terms shall be governed and construed in accordance with the laws of Israel without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

7. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is a material we will try to provide at least 15 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
